1. Acceptance of Terms

Accessing or using the Service, whether by you directly or by your organization, constitutes full acceptance of these Terms. If you do not agree with any provision, you must not use the Service.

If you accept these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity.

Electronic acceptance — ticking the box when you create your account or pressing “Accept and continue” — has the same validity as a signature under Guatemala's Law on the Recognition of Electronic Communications and Signatures (Decree 47-2008). We record the version accepted and the date.

2. Description of the Service

FlowPOS offers point-of-sale features, electronic invoicing (FEL) issued through certifiers authorised by the SAT, inventory control, cash register management, sales reports, human resources and customer communication tools, among others, for restaurants and retail businesses.

We may modify, add or withdraw features of the Service to improve its performance, security or regulatory compliance. If a change removes an essential feature of your plan, we will give you reasonable advance notice.

3. User Accounts and Eligibility

The Service is intended for businesses and for people aged 18 or over. To use it you must create an account and provide truthful, complete and up-to-date information. You are responsible for keeping your credentials confidential and for all activity under your account, including that of staff you give access to.

You must notify us immediately of any unauthorised use of your account or any other security breach you become aware of.

4. Subscriptions, Pricing and Billing

Access to the Service is subject to the subscription plans published on our pricing page. Prices are in Quetzales (GTQ) and may change with reasonable prior notice; a change applies from the next billing period.

Certain features, including SMS and WhatsApp notifications, may carry additional usage-based charges, billed according to the plan you have contracted.

Cancellation and refund terms are set out in the Refund Policy, which forms part of these Terms.

5. Acceptable Use

You agree to use the Service in accordance with applicable law and not for fraudulent or unlawful purposes or in ways that infringe the rights of others.

You must not attempt to breach the security of the Service, reverse-engineer the software, resell access without authorisation, or use the Service to send unsolicited communications (spam).

6. SMS, WhatsApp and Email Communications

The Service lets the businesses that use it (“Merchants”) send transactional notifications to their own customers and staff, such as invoice payment links, platform invitations, cash-close summaries and credit or debit notes, by SMS, WhatsApp and email.

These communications are transactional and informational, not promotional. Recipients can ask to stop receiving them at any time by contacting the Merchant directly. Message and data rates from the recipient's carrier may apply.

Merchants are responsible for having the consent or lawful basis needed to contact their own customers — including the opt-in WhatsApp Business policies require — and for complying with applicable data-protection and commercial-communication rules.

7. Intellectual Property

The Service, including its software, design, trademarks and content, belongs to FlowPOS or its licensors and is protected by intellectual-property law. These Terms grant you no ownership of the Service, only a limited, non-exclusive, non-transferable licence to use it as set out here.

The data you enter into the Service remains yours. You can request an export at any time, including after cancelling.

8. Privacy and Data Protection

Processing of personal data is governed by our Privacy Policy, and the use of cookies by the Cookie Policy.

For the data about your own customers and staff that you enter into the Service, you are the controller and FlowPOS is the processor: we process that data only to provide the Service, on your instructions, with reasonable security measures and never for our own purposes. You are responsible for informing those people and for having a lawful basis to process their data.

9. Limitation of Liability

To the maximum extent permitted by applicable law, FlowPOS is not liable for indirect, incidental, special or consequential damages, or for lost profits, arising from the use of or inability to use the Service. FlowPOS's total liability is limited to the amount you paid for the Service in the twelve months before the event giving rise to it.

Nothing in these Terms limits rights that Guatemala's Consumer and User Protection Law (Decree 006-2003) or other mandatory law grants you and that cannot be waived.

10. Termination

We may suspend or terminate your access to the Service for breach of these Terms, non-payment of subscription fees, or when required by law. You may cancel your subscription at any time under the Refund Policy.

After termination we keep your data for as long as tax and accounting obligations require, and you can request an export.

11. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes through the Service or your registered contact channels, and ask you to accept the new version before you continue using the Service.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Guatemala. Any dispute arising from them will be submitted to the competent courts of Guatemala, unless applicable law provides otherwise.
